Subject to these Terms, Bedford grants you a limited, non-exclusive, revocable, non-transferable right to access and use the Sites for lawful business, informational, educational, product-evaluation, and purchasing purposes.

You may download or print reasonable portions of Site content for your internal, noncommercial business use, provided that you do not remove or alter any copyright, trademark, patent, confidentiality, or other proprietary notice.

3. Accounts and Account Security

Certain Sites may allow or require you to create an account.

You are responsible for providing accurate and current account information, maintaining the confidentiality of your login credentials, and restricting access to your account. You are responsible for activity occurring through your account to the extent permitted by law.

You must promptly notify Bedford if you become aware of any unauthorized access to or use of your account.

Bedford may suspend, restrict, or terminate an account if Bedford reasonably believes that the account has been compromised, used without authorization, or used in violation of these Terms.

PART 2

Intellectual Property

4. Ownership of Site Content

All content made available through the Sites, including text, graphics, photographs, images, videos, software, source code, layouts, designs, product information, specifications, drawings, technical materials, application data, documentation, downloads, trademarks, logos, and other materials, is referred to collectively as the “Content.”

The Content is owned by Bedford, its affiliates, licensors, or suppliers and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Except for the limited right to access and use the Sites under these Terms, no right, title, license, or interest in the Sites or Content is granted to you. Bedford and its licensors reserve all rights not expressly granted.

5. Trademarks and Brand Assets

The Bedford name and logo, together with the company names, product names, brand names, logos, slogans, trade dress, and other source identifiers appearing on the Sites, are trademarks, registered trademarks, service marks, or other proprietary assets owned by Bedford, its affiliates, acquired businesses, or licensors.

Nothing on the Sites grants you any right or license to use a Bedford trademark, logo, slogan, trade name, domain name, trade dress, or other brand asset without Bedford’s prior written authorization.

You may not:

  • Use a Bedford trademark in a manner likely to cause confusion regarding source, sponsorship, approval, endorsement, or affiliation;
  • Use or register a trademark, business name, domain name, social media account, search keyword, or other identifier that incorporates or is confusingly similar to a Bedford trademark;
  • Remove, obscure, modify, distort, or combine a Bedford trademark with other words, graphics, or branding without authorization; or
  • Use Bedford’s trademarks or brand assets in a manner that disparages Bedford or damages its reputation or goodwill.

Any goodwill arising from an authorized use of a Bedford trademark will inure solely to Bedford’s benefit.

6. Distributor, Dealer, Reseller, and Partner Use

Distributors, dealers, resellers, sales representatives, marketing agencies, service providers, and other commercial partners do not receive a right to use Bedford’s intellectual property merely because they sell, promote, service, or otherwise work with Bedford products.

Unless Bedford expressly authorizes the use in writing, these parties may not:

  • Register or use domain names or social media accounts containing Bedford trademarks;
  • Use Bedford logos, product images, marketing materials, or other brand assets;
  • Modify Bedford product descriptions, specifications, trademarks, or branding;
  • Represent themselves as Bedford or as an exclusive or authorized Bedford representative;
  • Suggest a Bedford sponsorship, endorsement, partnership, or affiliation that does not exist; or
  • Use Bedford content outside the scope of an applicable written authorization.

Any authorized use must comply with Bedford’s current brand requirements and any applicable distributor, reseller, licensing, or marketing agreement. Bedford may revoke an authorization in accordance with the applicable agreement or authorization.

7. Copyright

The Sites and Content are protected by United States and international copyright laws.

Except as expressly permitted by these Terms, Content may not be copied, reproduced, modified, translated, published, displayed, transmitted, distributed, stored, sold, licensed, or otherwise used without Bedford’s prior written consent.

If you believe that material available through a Site infringes a copyright you own or control, please send a written notice to the contact identified in Section 25.

8. Patents

Products, components, technologies, equipment, designs, systems, materials, methods, and manufacturing processes described or depicted on the Sites may be protected by issued patents or pending patent applications in the United States and other jurisdictions.

Nothing contained on the Sites grants any express or implied license under any Bedford patent or patent application.

The absence of a patent reference on a particular webpage, product page, document, or item does not constitute a representation that the applicable product, technology, component, method, or process is not protected by a patent or patent application.

Bedford reserves all rights and remedies relating to its patents and patented technologies.

9. Virtual Patent Marking

Where Bedford marks a product or its packaging with the word “patent” or the abbreviation “pat.” together with an address for a publicly accessible Bedford webpage, that webpage may provide virtual patent-marking information by associating the applicable product with one or more patent numbers.

Only a webpage expressly designated by Bedford for patent marking is intended to serve as a virtual patent-marking page. General references to patents, patented technology, or Bedford’s patent portfolio are not intended by themselves to constitute virtual patent marking.

Bedford may update its patent-marking information periodically and without notice.

PART 3

Technical Information & Data

10. Technical Information and Reverse Engineering

The Sites may provide drawings, specifications, dimensions, performance data, engineering resources, application guidance, installation information, product images, technical documentation, and other proprietary materials.

  • Reverse engineer, deconstruct, disassemble, analyze, or determine the composition, construction, structure, operation, or assembly of a Bedford product;

Nothing in this section restricts a right that cannot lawfully be restricted.

11. Automated Access, Data Mining, and Artificial Intelligence

Except as expressly authorized by Bedford in writing, you may not use a bot, crawler, spider, scraper, harvesting tool, automated agent, data-mining system, artificial intelligence system, machine-learning system, or similar technology to:

  • Generate substitute or derivative content from Site Content;
  • Train, fine-tune, test, validate, benchmark, ground, or improve an artificial intelligence or machine-learning model; or
  • Make Site Content available to another person or system for any of these purposes.

General-purpose search engines may crawl publicly available portions of the Sites solely to create publicly accessible search indexes, provided that their activities comply with Bedford’s technical instructions and do not create cached archives intended to substitute for the Sites.

12. Product and Technical Information

Information presented on the Sites is provided for general informational purposes and may not be suitable for every product, project, application, environment, or operating condition.

Product descriptions, availability, pricing, colors, photographs, renderings, dimensions, specifications, performance characteristics, tolerances, technical data, and application guidance may be changed or corrected without notice.

Photographs and renderings may not precisely represent a product’s color, scale, dimensions, texture, configuration, or final production appearance.

You are responsible for determining whether a product is appropriate for your intended use and for complying with applicable laws, regulations, codes, standards, and industry requirements.

If Site Content conflicts with a Bedford quotation, order acknowledgment, written agreement, approved drawing, specification, product label, or other controlling document, the applicable controlling document will govern.

PART 4

Orders, Submissions, & Links

13. Terms and Conditions of Sale

These Terms govern use of the Sites. They do not govern the sale of Bedford products or services except with respect to activities conducted through the Sites.

All quotations, orders, purchases, and sales of Bedford products and services are subject to Bedford’s applicable Terms and Conditions of Sale and any separate written agreement signed or otherwise accepted by Bedford.

Product displays, descriptions, pricing, availability, and other information appearing on the Sites do not constitute a binding offer by Bedford. Bedford may accept, reject, limit, or cancel an order as permitted by its applicable Terms and Conditions of Sale and applicable law.

If these Terms conflict with Bedford’s Terms and Conditions of Sale concerning a quotation, order, purchase, shipment, product, or service, the Terms and Conditions of Sale will control.

14. User Communications and Submissions

The Sites may allow you to submit inquiries, comments, files, artwork, specifications, requests, feedback, suggestions, or other materials.

You represent that:

  • You have the right and authority to provide the submitted materials;
  • The materials do not infringe another party’s intellectual property, privacy, confidentiality, or other rights;
  • The materials are accurate and lawful; and
  • Bedford’s receipt and permitted use of the materials will not violate an obligation owed to another party.

Unless Bedford has entered into a written confidentiality agreement covering the submission, you should not submit trade secrets or other confidential information through a general website form.

Submission of general feedback, ideas, or suggestions does not obligate Bedford to review, develop, use, maintain in confidence, or compensate you for the submission. To the extent permitted by law, you grant Bedford a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and evaluate such general feedback for Bedford’s business purposes.

Customer designs, artwork, specifications, confidential information, and other materials provided in connection with an actual or proposed commercial transaction remain subject to the applicable written agreements and Bedford’s Terms and Conditions of Sale.

15. Links to the Sites

You may link to a public page of a Site in a fair and lawful manner that does not damage Bedford’s reputation or imply an affiliation, endorsement, sponsorship, or approval that does not exist.

You may not:

  • Frame or display a Site or its Content within another website or service;
  • Use a Bedford trademark as the link or as part of surrounding branding without authorization;
  • Link from a website containing unlawful, misleading, infringing, or harmful material; or
  • Misrepresent the nature of your relationship with Bedford.

Bedford may request removal of a link that violates these Terms.

16. Third-Party Websites and Services

The Sites may contain links to websites, applications, platforms, products, or services operated by third parties.

Bedford does not control and is not responsible for third-party content, availability, security, products, services, terms, or privacy practices. A link does not necessarily constitute Bedford’s endorsement of the third party.

Your access to and use of third-party websites and services are governed by the third party’s terms and policies and are at your own risk.

PART 5

Privacy & Communications

17. Privacy

Bedford’s collection and use of personal information through the Sites are governed by the applicable Privacy Policy and any notices presented when information is collected.

Certain Sites may also use cookies and similar technologies as described in the applicable Privacy Policy or cookie notice.

26. Changes to These Terms

Bedford may revise these Terms from time to time by posting an updated version on the Sites and revising the “Last Updated” date.

Changes become effective when posted unless a later effective date is stated. Your continued use of a Site after the effective date of revised Terms constitutes acceptance of the revised Terms.
